  • Represented a co-founder as plaintiff in breach of fiduciary duty and retaliatory discharge litigation against a startup company.
  • Conducted numerous internal investigations for public companies following whistleblower allegations related to improper sales practices, accounting improprieties, expense account abuses, violations of anti-bribery statutes, and violations of the False Claims Act.
  • Represented an insurance technology company as plaintiff in trade secret and breach of fiduciary duty litigation brought against a company founded by a former director.
  • Represented numerous venture firms, founders, and investors in connection with corporate governance and control disputes.
  • Represented several audit committees conducting internal investigations on a wide range of financial and accounting issues.
  • Provided strategic advice to several corporate clients engaged in merger transactions.
  • Represented HeadSpin, Inc. in internal and SEC investigations relating to allegations of accounting impropriety, resulting in settled charges with no penalty due to significant remedial efforts and cooperation.
  • Successfully defended various Tencent entities in multiple lawsuits alleging conspiracy and other claims, resulting in the granting of motions to dismiss or voluntary dismissal of the actions by plaintiff.
  • Represented scores of corporation clients on issues related to advancement, indemnification and corporate insurance.
  • Represented the special committees of several private companies in connection with allegations that misrepresentations were made to venture investors regarding the company’s performance and financial statements.
  • Obtained a dismissal of all claims by a disgruntled co-founder against medical device company and other co-founders on summary judgment.
  • Successfully arbitrated breach of contract matter for insurance technology company, resulting in summary judgment, with an award of damages, interest, and attorneys’ fees.
  • Obtained a $1 million award of attorneys’ fees against a plaintiff who improperly sued corporate clients in violation of a settlement agreement.
  • Successfully defended various Tencent entities in litigation asserting claims for fraud, conversion, and violation of state consumer protection laws, resulting in granting of motion to dismiss.
  • Obtained dismissal on a motion to dismiss for individual client named as a defendant in securities class action related to alleged cyber vulnerabilities.
  • Represented healthcare technology company in litigations and arbitrations relating to the use of pixel technology on its website.
  • Successfully defended federal securities class action against Baozun, Inc. and its officers, resulting in the voluntary dismissal of the action by plaintiff.
